These Terms of Service ("Terms") govern your access to and use of the Ready OR mobile application and website at ReadyOR.net (collectively, the "Service"), operated by Ready OR ("we," "us," or "our"). By downloading, installing, or using the Service, you agree to be bound by these Terms.
The Service is intended for use by licensed healthcare professionals and surgical team members aged 18 or older. By using the Service, you represent that you meet these eligibility requirements and that you have the authority to bind your organization to these Terms if using the Service on behalf of an organization.
Ready OR is offered as a subscription service at $49 per user per month, with a 14-day free trial. On iOS, subscriptions are purchased and managed through Apple In-App Purchase. By subscribing, you authorize recurring charges through Apple at the then-current subscription rate. You may cancel your subscription at any time through your Apple ID settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
You may use the Service solely for your internal professional purposes as a surgical team member or healthcare administrator. You agree not to:
Ready OR is an operational efficiency and workflow management tool. It is not a medical device, clinical decision support system, or substitute for professional medical judgment. The Service does not provide medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the licensed healthcare professionals involved in patient care. We expressly disclaim any liability for clinical outcomes arising from use of the Service.
You retain ownership of all data, notes, photos, and videos you enter into the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store and process Your Content solely to provide the Service to you. We do not claim ownership of Your Content and will not use it for any purpose other than operating the Service.
The Ready OR name, logo, app design, and all software underlying the Service are the exclusive property of Ready OR and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance of the updated Terms.
To the fullest extent permitted by law, Ready OR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Ready OR and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
These Terms are governed by the laws of the United States and the state in which Ready OR is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
